Business Entity Formation. Help clients identify the most appropriate business entity for the clients’ needs. Prepare documents to form and manage partnerships, limited liability companies, corporations, foundations, and trusts.

Commercial Law. Assist clients in the sale and leasing of goods and services. Document security interests, notes, and other commercial paper.

Creditors’ Rights and Bankruptcy. Pursue and protect the rights of creditors in Chapter 7, 11, and 12 bankruptcy cases filed by debtors.

Employee Benefits. Advise employers about cafeteria plans, 401(k) plans, and ERISA issues.

Employment Law. Counsel employers about employment policies and procedures, including the drafting of employee handbooks and noncompetition agreements. Help employers reduce the risk of lawsuits by employees. Defend employers sued for discrimination, harassment, and other employment law claims.

Financial Institutions. Represent financial institutions in matters including loan documentation, asset recovery, human resources and litigation.

Intellectual Property. Advise businesses with respect to trade secrets, nondisclosure agreements, trademarks and service marks, and copyrights. Represent businesses in litigation for patent and trademark infringement, and business tort disputes.

Litigation/Alternative Dispute Resolution. Represent businesses and their owners in litigation and arbitration. Litigation experience includes contract disputes, business torts, employment, patent and trademark infringement, trade secrets, and insurance coverage. Some of our attorneys also serve as mediators and arbitrators.

Medical Practices. Serve physicians, physician groups and other healthcare entities in business transactions and other matters involving healthcare issues. Represent physicians in matters regarding employment contracts.

Mergers/Acquisitions. Represent clients through the process of selling or acquiring the assets or stock of another business entity, including drafting contracts, and business and tax advice.

Professional Liability. Defend legal professionals and officers and directors in tort claims.
